1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ProcessFlow, Inc., a Delaware corporation doing business as SnapQuiz ("Company," "we," "us," or "our"), governing your access to and use of the SnapQuiz mobile application ("App") and any related services, features, or content (collectively, the "Services").

By downloading, installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Services.

If you are under 18 years of age (or the age of legal majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. If you are a parent or guardian permitting a minor to use the Services, you agree to be bound by these Terms on behalf of such minor and are fully responsible for the minor's use of the Services.

2. Description of Services

SnapQuiz is a mobile application that allows users to photograph handwritten notes, textbooks, slides, and other study materials, and uses artificial intelligence ("AI") technology to generate interactive quizzes and study content based on those materials. The Services are intended for personal, non-commercial, educational support purposes only.

The Services are not a substitute for professional education, tutoring, or academic instruction. SnapQuiz is designed as a supplementary study tool and should not be relied upon as the sole source of academic preparation.

3. AI-Generated Content Disclaimer

THE QUIZZES, QUESTIONS, ANSWERS, AND ALL OTHER CONTENT GENERATED BY THE APP ARE PRODUCED BY ARTIFICIAL INTELLIGENCE AND MAY CONTAIN ERRORS, INACCURACIES, OMISSIONS, OR MISLEADING INFORMATION.

You acknowledge and agree that:

  • AI-generated content is provided on an "as-is" basis without any warranty of accuracy, completeness, or reliability;
  • The Company does not guarantee the correctness of any quiz question, answer, explanation, or other AI-generated output;
  • You should independently verify any information provided by the Services before relying on it for academic, professional, or any other purpose;
  • The Company shall not be held liable for any academic outcomes, exam results, grades, or any consequences arising from reliance on AI-generated content;
  • AI technology is inherently imperfect and may misinterpret handwritten text, images, or other input materials.

4. Account Registration

To access certain features of the Services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration;
  • Maintain and promptly update your account information to keep it accurate and current;
  • Maintain the security and confidentiality of your login credentials;
  • Accept responsibility for all activities that occur under your account;
  • Immediately notify us of any unauthorized use of your account.

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice.

5. Subscriptions and Payments

5.1 Subscription Plans

Access to certain features of the Services requires a paid subscription. Subscription plans, pricing, and features are subject to change at our sole discretion. Current pricing is displayed within the App and on the Apple App Store.

5.2 Billing and Renewal

All payments are processed through Apple's App Store ("Payment Processor"). By subscribing, you agree to the Payment Processor's terms and conditions. Subscriptions automatically renew at the end of each billing period unless you cancel the subscription at least 24 hours before the end of the current period through your Apple ID account settings.

5.3 Refunds

All sales are final. Because payments are processed through the Apple App Store, refund requests must be directed to Apple in accordance with their refund policies. The Company does not directly process refunds. We are not obligated to provide refunds or credits for any reason, including but not limited to dissatisfaction with the Services, partial use of a subscription period, or inaccuracies in AI-generated content.

5.4 Price Changes

We reserve the right to modify subscription pricing at any time. Price changes will take effect at the start of the next subscription period following the date of the price change. Your continued use of the Services after a price change constitutes your acceptance of the new pricing.

6. Intellectual Property Rights

6.1 Company Intellectual Property

The Services, including but not limited to the App, its source code, object code, design, layout, graphics, logos, trademarks, service marks, trade names ("SnapQuiz"), AI models, algorithms, and all related intellectual property, are and shall remain the exclusive property of ProcessFlow, Inc. and its licensors. All rights not expressly granted herein are reserved.

6.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on a single mobile device that you own or control, solely for your personal, non-commercial use. This license does not include the right to:

  • Modify, adapt, or create derivative works of the App;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App;
  • Remove, alter, or obscure any proprietary notices on the App;
  • Use the App for any commercial purpose or for the benefit of any third party;
  • Copy, distribute, or sublicense the App or any content generated by the App for commercial purposes.

6.3 User Content

You retain ownership of the original materials you photograph and upload to the App ("User Content"). However, by uploading User Content, you grant ProcessFlow, Inc. a worldwide, royalty-free, non-exclusive, sublicensable, transferable license to use, process, store, reproduce, and analyze your User Content solely for the purposes of providing and improving the Services, including training and improving our AI models. This license survives termination of your account.

7. Prohibited Activities

You agree not to:

  • Use the Services for any illegal or unauthorized purpose;
  • Violate any applicable laws, regulations, or third-party rights;
  • Upload content that infringes any intellectual property, privacy, or other rights of any third party;
  • Use the Services to cheat on exams, plagiarize, or engage in academic dishonesty;
  • Attempt to gain unauthorized access to the Services, other user accounts, or our systems;
  • Use any automated means (bots, scrapers, crawlers) to access or interact with the Services;
  • Interfere with, disrupt, or place an undue burden on the Services or our infrastructure;
  • Upload any content that is harmful, offensive, obscene, abusive, or otherwise objectionable;
  • Attempt to reverse engineer, decompile, or extract the AI models, algorithms, or training data used in the Services;
  • Resell, redistribute, or commercially exploit the Services or any content generated by the Services;
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
  • Circumvent, disable, or otherwise interfere with any security features of the Services.

8. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination:

  • Your license to use the App immediately ceases;
  • You must delete the App and all copies from your device(s);
  • We may delete your account and all associated data without further notice;
  • You are not entitled to any refund of subscription fees already paid;
  • All provisions of these Terms which by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, and indemnification.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Without limiting the foregoing, the Company makes no warranty or representation that:

  • The Services will meet your requirements or expectations;
  • The Services will be uninterrupted, timely, secure, or error-free;
  • The results obtained from the Services, including AI-generated quizzes and content, will be accurate, reliable, or complete;
  • Any errors in the Services will be corrected;
  • The Services will be compatible with your device or operating system.

You acknowledge that the educational content generated by the Services is produced by AI and may contain errors. You use the Services at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROCESSFLOW, INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, INTERNS, SUPPLIERS, SERVICE PROVIDERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your use of or inability to use the Services;
  • Any inaccuracies, errors, or omissions in AI-generated content;
  • Any academic outcomes, exam results, or educational consequences;
  • Unauthorized access to or alteration of your data or transmissions;
  • Any third-party conduct on or related to the Services;
  • Any other matter relating to the Services.

IN NO EVENT SHALL THE COMPANY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO THE COMPANY IN THE TWO (2) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, the Company's liability shall be limited to the fullest extent permitted by applicable law.

11. Indemnification

You agree to defend, indemnify, and hold harmless ProcessFlow, Inc., its directors, officers, employees, affiliates, agents, contractors, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys' fees) arising from or related to:

  • Your use of the Services;
  • Your violation of these Terms;
  • Your violation of any rights of any third party, including intellectual property rights;
  • Any User Content you upload, submit, or transmit through the Services;
  • Any claim that your User Content caused damage to a third party.

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before filing any formal dispute, you agree to first contact us at contact@lume.gg and attempt to resolve the dispute informally for at least thirty (30) days.

12.2 Binding Arbitration

If the dispute cannot be resolved informally, you and the Company agree that any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware, United States. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

12.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

13. Governing Law

These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

14. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. If we make material changes, we will notify you by posting the updated Terms within the App or on our website with a new "Last updated" date. Your continued use of the Services after the posting of revised Terms constitutes your acceptance of such changes. If you do not agree to the modified Terms, you must stop using the Services and cancel your subscription.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms, and these Terms shall be construed as if the invalid, illegal, or unenforceable provision had never been contained herein.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published by us on the App, constitute the entire agreement between you and ProcessFlow, Inc. regarding your use of the Services and supersede all prior agreements, representations, and understandings.

17. Waiver

The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by the Company.
